Terms of Service

These Terms of Service (the “Terms”) are a binding agreement between you, the business that creates an account and uses the service (“you,” the “Customer”), and Prompt Critical, LLC, a New York limited liability company that operates the Foil Haven software and brand (“Prompt Critical,” “Foil Haven,” “we,” “us,” or “our”). Foil Haven is a brand and product of Prompt Critical, LLC.

By creating an account, connecting a store, or subscribing to a paid plan, you agree to these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, and “you” refers to that entity.

Foil Haven is software for trading-card-game retailers. The service provides item-level inventory tracking, synchronization of listings to a connected Shopify store, automated repricing, an in-store kiosk for counter lookups, and buylist intake. Depending on your plan, it also provides an in-store point-of-sale (POS) system supporting cash, store-credit, and gift-card tenders, sales-tax collection on in-store sales, trade-ins, a store-credit ledger, gift cards, discounts, printable receipts, and end-of-day reports. It is a tool you operate to run your own business.

Foil Haven is software only. It is not legal, financial, tax, accounting, or other professional advice, and using it does not create any professional relationship between you and Prompt Critical, LLC. Pricing suggestions, margins, and any numbers the service surfaces are informational; you are responsible for your own pricing, sales, and business decisions.

You must be at least 18 years old and able to form a binding contract to use Foil Haven. You are responsible for the accuracy of the information you provide, for safeguarding your login credentials, and for all activity that occurs under your account. Notify us promptly at support@foilhaven.com if you believe your account has been compromised.

You are responsible for the conduct of any staff or other users you invite to your account, and for ensuring their use of the service complies with these Terms.

You agree not to:

• Use the service for any unlawful purpose or in violation of any applicable law or regulation;
• Resell, sublicense, or provide the service to a third party as a service bureau without our written permission;
• Reverse-engineer, decompile, or attempt to extract the source code of the software, except to the extent that restriction is prohibited by law;
• Probe, scan, or test the vulnerability of the service, or breach or circumvent any security or authentication measure;
• Interfere with or disrupt the integrity or performance of the service, or upload malicious code; or
• Use the service to infringe the intellectual property or other rights of any third party.

We may suspend or limit access if we reasonably believe your use threatens the security, integrity, or availability of the service.

Foil Haven is offered on a free Counter plan and paid monthly subscription plans — currently Growth ($79/month) and Pro ($149/month). Plans are billed monthly in advance and automatically renew at the start of each billing period until you cancel. Payment is processed by our payment provider, Stripe; by subscribing you authorize us to charge your payment method for the recurring subscription fee.

We may change plan pricing or the features included in a plan. If we change the price of a plan you are subscribed to, we will give you advance notice, and the new price will take effect on your next billing period after the notice. Fees are exclusive of taxes; you are responsible for any applicable sales or use taxes.

You can cancel anytime. When you cancel, the cancellation takes effect at the end of your current billing period. Your subscription will not renew for the next period, and your access to the service continues until the end of the period you have already paid for.

Subscription fees are non-refundable. We do not provide prorated or partial refunds for the current billing period, including for unused time after you cancel. There are no refunds for periods already started.

To use the synchronization features, you connect your own Shopify store and authorize Foil Haven to access and modify the store data needed to provide the service — your products, inventory, listings, and order information. You represent that you own or are authorized to manage the store you connect and to grant this access.

This authorization is revocable. You can disconnect your store at any time, either from within Foil Haven or from your Shopify admin’s app settings; once disconnected, Foil Haven stops accessing the store. Disconnecting does not by itself cancel your subscription — see Section 6 to cancel billing.

Your use of Shopify is governed by your own agreement with Shopify. We are not responsible for the availability of, or changes to, Shopify’s platform or APIs.

As between you and us, you own the data you bring to or generate in the service — your inventory, listings, and order data. You grant us a limited license to host, process, and transmit that data solely to provide and improve the service and as described in our Privacy Policy.

As between you and us, we own the Foil Haven software, its design, and all related intellectual property, including the “Foil Haven” name and marks. We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the service during your subscription. Nothing in these Terms transfers ownership of the software to you.

The service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by law, we disclaim all implied warranties, including the warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the service will be uninterrupted, error- free, or secure, that defects will be corrected, or that any pricing data, repricing suggestion, or sync result will be accurate, complete, or suitable for your purposes. You use the service at your own discretion and risk.

To the fullest extent permitted by law, Prompt Critical, LLC and its members, officers, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any lost profits, lost revenue, lost data, or business interruption, arising out of or relating to the service or these Terms, even if we have been advised of the possibility of such damages.

Our total aggregate liability arising out of or relating to the service or these Terms will not exceed the amount you paid to us for the service in the twelve (12) months immediately preceding the event giving rise to the claim.

You may stop using the service and cancel your subscription at any time as described in Section 6. We may suspend or terminate your access if you materially breach these Terms, fail to pay fees when due, or use the service in a way that creates legal or security risk for us or others.

On termination, your right to use the service ends. Sections that by their nature should survive — including data ownership, intellectual property, disclaimers, limitation of liability, and governing law — survive termination.

We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date above and, where appropriate, give you notice through the service or by email. Your continued use of the service after a change takes effect means you accept the updated Terms.

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules. The state and federal courts located in New York will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the service, and you consent to the jurisdiction of those courts.
